TERMS & CONDITIONS.

These Terms and Conditions (“Terms”) govern applications for and attendance at Berkadia's Dealmakers Summit (the “Event”), organized by Miami Dealmakers LLC (“Miami Dealmakers,” “we,” “us,” or “our”).

By submitting an application, you acknowledge that you have read and agree to these Terms. If your application is approved, accepting the invitation or attending the Event also constitutes your agreement to these Terms.

1. Complimentary, Application-Only Event

Berkadia's Dealmakers Summit is a complimentary, application-only event. No tickets are sold, and there is no application fee.

Applications are reviewed on a rolling basis until the Event reaches capacity. Submitting an application does not guarantee approval, an invitation, admission, or future participation.

Miami Dealmakers may accept, decline, or waitlist an application at its discretion, subject to applicable law. Decisions may be based on professional background, experience, relevance to the Event, community composition, available capacity, and other Event-related considerations.

2. Invitations and Admission

An invitation is personal to the approved applicant and may not be sold, assigned, transferred, or used by another person without Miami Dealmakers’ prior written approval.

Applicants must provide accurate and complete information. Miami Dealmakers may withdraw an invitation or refuse admission if information provided in an application is false, misleading, incomplete, or submitted on behalf of another person.

Attendees may be required to present valid photo identification matching the name on their approved application.

Miami Dealmakers reserves the right to refuse admission or remove any person whose conduct is disruptive, unsafe, unlawful, inappropriate, or inconsistent with these Terms or the purpose of the Event.

3. Event Details, Promotional Materials, and Changes

The Event’s date, time, venue, schedule, speakers, participants, programming, format, and other details will be posted on the official website or communicated to approved applicants.

The website, application, social-media accounts, and other promotional materials may include photographs, videos, names, clips, or other content from the Miami Dealmakers podcast, previous events, and past Miami Dealmakers activities. Individuals appearing in those materials—including podcast guests, speakers, and prior attendees—are not necessarily invited, confirmed, or scheduled to participate in the upcoming Berkadia's Dealmakers Summit. Their appearance does not represent or imply their participation in, sponsorship of, or endorsement of the Event. Only individuals expressly identified by Miami Dealmakers as confirmed participants should be considered confirmed.

Images and recordings from previous events may be used to illustrate the general nature and atmosphere of Miami Dealmakers events and may not depict the venue, participants, programming, or experience of the upcoming Event.

Miami Dealmakers may change, postpone, relocate, shorten, reschedule, cancel, or modify the Event or any part of it at any time. Speakers, participants, programming, venue details, and other Event features are subject to change without notice.

Because the Event is complimentary, attendees are not entitled to refunds or compensation if the Event is changed, postponed, or canceled.

Miami Dealmakers is not responsible for travel, lodging, meals, transportation, lost wages, or other expenses incurred in connection with applying for or attending the Event.

4. Attendee Conduct

Attendees must behave professionally and respectfully and comply with instructions from Miami Dealmakers, the venue, security personnel, and Event staff.

Harassment, discrimination, threats, violence, illegal activity, excessive intoxication, unauthorized solicitation, disruption of programming, and conduct that threatens the safety or comfort of others are prohibited.

Miami Dealmakers may refuse admission or remove an attendee without compensation for violating these Terms or engaging in conduct that Miami Dealmakers reasonably considers unsafe, disruptive, inappropriate, or harmful to the Event or its participants.

5. Media Consent

By attending Berkadia's Dealmakers Summit, you acknowledge and agree that the Event may be photographed, filmed, livestreamed, or otherwise recorded.

You grant Miami Dealmakers LLC and its affiliates, representatives, contractors, sponsors, licensees, successors, and assigns the irrevocable, perpetual, worldwide, royalty-free right to photograph and record you and to use, reproduce, edit, modify, publish, display, distribute, broadcast, license, and otherwise use your name, image, likeness, voice, appearance, statements, and participation in the Event.

This authorization includes use for promotional, advertising, marketing, editorial, commercial, archival, social-media, and other lawful purposes in any media now known or later developed.

You understand and agree that: (a) You will not receive compensation for this use; (b) You have no right to inspect or approve the finished materials; (c) Miami Dealmakers owns the recordings and resulting materials; and (d) To the fullest extent permitted by law, you release the authorized parties from claims arising from the recording or permitted use of your name, image, likeness, voice, appearance, statements, or participation.

Your attendance at the Event constitutes your acceptance of this Media Consent, and no additional notice or consent will be required.

6. Newsletter and Marketing Consent

By submitting an application, you agree to become a subscriber to the Miami Dealmakers newsletter and authorize Miami Dealmakers LLC to use your email address to send: Miami Dealmakers news and marketing communications; company announcements and promotions; information about current and future events; opportunities related to the Miami Dealmakers community; and invitations to apply for or attend next year’s Berkadia's Dealmakers Summit.

You may unsubscribe from marketing emails at any time by using the unsubscribe link included in each message.

Unsubscribing will not negatively affect your application. Miami Dealmakers may continue sending non-marketing communications necessary to provide application decisions, invitation details, attendance instructions, safety information, or Event updates.

7. Information We Collect

Miami Dealmakers may collect information you provide through your application or communications with us, including: your name and contact information; your company, job title, and professional information; links to professional profiles or websites; dietary, accessibility, or accommodation requests; and other information you voluntarily provide.

When you use our website, we and our service providers may automatically collect limited technical information, such as your IP address, browser type, device information, pages visited, cookie identifiers, and similar usage information.

Please do not provide sensitive personal information unless it is specifically requested and reasonably necessary for an accommodation or Event-related purpose.

8. How We Use and Share Information

Miami Dealmakers may use personal information to: review and manage applications; select, waitlist, and communicate with applicants; organize attendance, security, accommodations, and Event logistics; operate, secure, analyze, and improve our website and Event; send newsletters, marketing communications, and future invitations; respond to questions; prevent fraud, misuse, and security incidents; protect our rights and the safety of Event participants; and comply with applicable law.

We may share information with service providers and contractors that help operate our website, process applications, deliver communications, or produce the Event. These may include website providers, email services, application platforms, venues, caterers, security personnel, and production teams.

We may also disclose information when required by law, when reasonably necessary to protect Miami Dealmakers or others, or in connection with a merger, financing, sale, reorganization, or transfer of all or part of our business.

Miami Dealmakers does not sell applicants’ personal information.

9. Cookies, Retention, and Security

Our website may use cookies and similar technologies to function properly, understand website activity, remember preferences, and maintain security. You may manage cookies through your browser settings, although disabling cookies may affect website functionality.

We retain personal information for as long as reasonably necessary to manage applications and the Event, communicate about future events, maintain business records, comply with legal obligations, resolve disputes, and protect our rights.

We use reasonable safeguards designed to protect personal information. However, no website, electronic transmission, or storage system can be guaranteed to be completely secure.

You may contact us to request access to, correction of, or deletion of your personal information, subject to applicable law and legitimate recordkeeping needs.

10. Assumption of Risk

Attendance at an in-person event involves risks, including illness, exposure to communicable diseases, accidents, personal injury, property damage, acts of other attendees, travel-related risks, and other expected or unexpected hazards.

By attending, you knowingly and voluntarily accept and assume all risks associated with your attendance and participation, whether known or unknown, to the fullest extent permitted by law.

You are responsible for determining whether you are physically able to attend and participate safely.

11. Release of Claims

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE AND AGREE NOT TO SUE MIAMI DEALMAKERS LLC, ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, REPRESENTATIVES, CONTRACTORS, SPONSORS, SPEAKERS, VENUES, VENDORS, SUCCESSORS, AND ASSIGNS FOR CLAIMS, LOSSES, INJURIES, ILLNESSES, DAMAGES, COSTS, OR LIABILITIES ARISING FROM OR RELATED TO YOUR APPLICATION, TRAVEL, ATTENDANCE, PARTICIPATION, OR REMOVAL FROM THE EVENT, INCLUDING CLAIMS ARISING FROM ORDINARY NEGLIGENCE.

This release does not apply to liability that cannot lawfully be waived.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MIAMI DEALMAKERS AND THE OTHER RELEASED PARTIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS OPPORTUNITIES, TRAVEL EXPENSES, OR LOSS OF DATA.

IF MIAMI DEALMAKERS IS FOUND LIABLE FOR ANY CLAIM RELATED TO THE APPLICATION OR EVENT, ITS TOTAL LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100), EXCEPT WHERE SUCH A LIMITATION IS PROHIBITED BY LAW.

13. Personal Property

You are responsible for your personal belongings. Miami Dealmakers and the venue are not responsible for lost, stolen, misplaced, or damaged property except where liability cannot legally be excluded.

14. Event Content and Intellectual Property

Event materials, recordings, presentations, branding, logos, photographs, videos, and other content are owned by Miami Dealmakers, its speakers, sponsors, or licensors and are protected by intellectual-property laws.

Unless Miami Dealmakers gives prior written permission, attendees may not commercially reproduce, distribute, livestream, sell, or exploit Event content.

Nothing presented at the Event constitutes legal, financial, investment, tax, or other professional advice. Attendees are responsible for their own decisions and should consult appropriate professional advisers.

15. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless Miami Dealmakers LLC and its affiliates, owners, officers, employees, representatives, contractors, and agents from claims, damages, liabilities, and reasonable costs arising from: your violation of these Terms; your unlawful or improper conduct; your infringement of another person’s rights; or property damage or injury caused by your actions.

16. Force Majeure

Miami Dealmakers is not responsible for any delay, change, interruption, postponement, or cancellation caused by circumstances beyond its reasonable control, including severe weather, natural disaster, fire, flood, epidemic, public-health emergency, government action, civil unrest, labor disruption, utility failure, transportation interruption, venue unavailability, security threat, or similar event.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Before filing a formal claim, the parties agree to attempt to resolve the dispute through good-faith discussions. Written notice of a dispute must be sent to the contact information below and describe the nature of the claim and requested resolution.

If the dispute is not resolved within 30 days after notice, it will be resolved through binding individual arbitration administered by the American Arbitration Association under its applicable rules. Arbitration will take place in Miami-Dade County, Florida, unless the parties agree otherwise.

YOU AND MIAMI DEALMAKERS AGREE THAT CLAIMS MAY BE BROUGHT ONLY ON AN INDIVIDUAL BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY MAY PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Either party may bring an eligible individual claim in small-claims court. Either party may also seek temporary or emergency injunctive relief from a court with jurisdiction when necessary to prevent immediate harm or protect intellectual-property rights.

18. Eligibility

The application process and Event are intended for adults who are at least 18 years old. By applying, you represent that you are at least 18 and legally able to agree to these Terms.

19. Changes to These Terms

Miami Dealmakers may update these Terms from time to time. Updated Terms become effective when posted on the official Event website with a revised effective date.

Material changes affecting an approved applicant may also be communicated by email. Continued participation after an update constitutes acceptance of the updated Terms to the extent permitted by law.

20. General Provisions

These Terms constitute the entire agreement between you and Miami Dealmakers concerning your application and attendance, except for any separate written agreement signed by Miami Dealmakers.

If any provision is found invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

Miami Dealmakers’ failure to enforce a provision does not waive its right to enforce that provision later. You may not transfer your rights under these Terms without our written approval. Miami Dealmakers may assign these Terms in connection with its business or the Event.
